1. Definitions
Contract means the contract between you and Pnyx Ltd in relation to an Event.
Delegate or Delegates means a person or persons booked to attend an Event under a Contract.
Pnyx means Pnyx Limited (registered in England and Wales with company number 13557326).
Event means a conference or a summit organised by Pnyx
Officials means the government officials who attend an Event.
Order means an order for, or a booking of, a place or places on an Event.
Invoice means payment details from the Order. This Invoice will indicate the cost of the package as a net cost.
Promotional Materials means the promotional materials in relation to a Sponsor as agreed with Pnyx in respect of the relevant Sponsorship package.
Registration Form means our registration form at www.pnyxltd.com or as supplied to the Delegates by Pnyx Ltd.
Sponsor means a Delegate who has opted on the Registration Form to be a Sponsor of the Event, whether Platinum, Gold, Silver, Bronze or one of the additional options.
Sponsorship Package means either a Platinum, Gold, Silver or Bronze sponsorship package or one of the additional options.
Terms means these terms and conditions.
2. Basis of Contract
2.1 You will place an Order by completing and returning the Registration Form to Pnyx Ltd. You will confirm on the Registration Form the Sponsorship Package that you require.
2.2 The Order shall be deemed to be accepted when Pnyx issues to you an invoice in relation to your Order (Invoice) and on which date the Contract shall come into existence and become legally binding.
2.3 These Terms shall apply to, and are incorporated in, the Contract.
2.4 The Contract constitutes the entire agreement between you and Pnyx and you acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of Pnyx which is not set out in the Contract.
3. Payment of Fees
3.1 The fee for an Event will include certain refreshments, lunches and Event documentation for each Delegate (Fee).
3.2 100 % of all Fees must be paid immediately upon the date of the Invoice. The invoice will be a net amount.
3.3 Interest may be charged on any outstanding Fees at a rate of 8% above the base rate from time to time of Revolut.
3.4 Payment will be taken in pounds sterling and will only be accepted by personal or company credit card or via Electronic Bank Transfer. Other methods of payment will only be accepted if agreed in writing by Pnyx.
3.5 All Fees are quoted exclusive of value added tax (VAT) chargeable for the time being. Where VAT is chargeable to you, you shall, on receipt of a valid VAT invoice from Pnyx, you shall pay to Pnyx such additional amounts in respect of VAT within fourteen days.
3.6 The Fee does not include travel to or from the Event or any accommodation costs incurred. You are responsible for your own travel arrangements (including visa requirements) although upon registration Pnyx will provide you with information about local accommodation. Please note that checking visa requirements for your specific nationality, if any, and the proper immigration, customs and travel documents required by the Event host country is your sole responsibility. Should you, after making the necessary checks, need a letter of support to obtain your visa, please let Pnyx know as soon as possible so it can consider sending you an appropriate letter addressed to the appropriate consulate in your country of application.
4. Your Cancellation Rights
4.1 Substitution. Substitutions may be made at any time, at no additional cost. To substitute your registration it is necessary to submit a written request to Pnyx Ltd, Onega House, 112 Main Road, Greater London, DA14 6NE, United Kingdom or by email to Admin@pnyxltd.com 
4.2 Cancellation. To cancel your paid registration and receive a refund, it is necessary to submit a written cancellation request to Pnyx Ltd, Onega House, 112 Main Road, Greater London, DA14 6NE, United Kingdom or by email to Admin@pnyxltd.com 
• Refunds will be issued back to the debit / credit card used for payment or by bank transfer.
• Refunds back to the debit or credit card can only be processed within 30 days of the original transaction date.
• Refunds for transactions older than this must be processed by bank transfer.
• Full refunds (less the Processing Charge) are ONLY available up until 180 days prior to the first day of the event.
• Refunds, less 40% in liquidated damages, are available over 120 days prior to the first day of the event.
• Up to 120 days prior to the first day of the event NO refunds will be granted, if funds have not been received there exists a 100% cancellation fee 
• At Pnyx's discretion you may be offered a credit note (to be used against a Pnyx event during the 12 months following your written cancellation, less a £180.00 administration charge
5. The Event
5.1 In the event that Pnyx is required to cancel the Event, then you will be offered a credit note for your full Fees, to be used against an Event during the 12 months following cancellation.
5.2 Pnyx reserves the right to alter the content, list of speakers, venue or timing of an Event without any liability to you or any of the Delegates. Pnyx shall use its reasonable efforts to notify you and the Delegates of such changes.
5.3 Pnyx accepts no liability whatsoever for cancellations or alterations made in accordance with paragraphs 5.1 and 5.2 above.
5.4 Views expressed by speakers are their own and Pnyx disclaims all liability for advice given or views expressed during an Event. Documentation distributed at an Event is intended for information only and should not be relied upon.
5.5 Please note that for promotional purposes, an Event or part of it may be filmed by audio, visual, audio-visual or electronic means. You agree to permit Pnyx to use and distribute such footage, which may feature images of you, in all or any media whether now known or hereafter to be invented throughout the world in perpetuity for the purposes of advertising, publicity, reporting and otherwise in relation to the exploitation of such recordings.
6. Sponsors
6.1 Sponsors must supply Pnyx with all Promotional Materials within 7 days from the date of Order.
6.2 Pnyx shall not be liable for any errors, omissions, defaults or faults in the Promotional Materials which are distributed or issued at the Events.
6.3 At the Events, all Delegates must comply with applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption including but not limited those set out in the Bribery Act 2010 (English legislation).
6.4 Notwithstanding paragraph 6.3 above, without the express written consent of Pnyx, neither the Sponsors, any Delegates nor any persons connected, either directly or indirectly, with any of the Sponsors or Delegates may, in any circumstances:
(a) take any steps to approach or make contact with, or approach or make contact with, any Officials during or prior to the Event with the intention of arranging or organising a lunch, dinner or any other social or networking function with such Officials; or
(b) arrange, organise or attend a lunch, dinner or any other social or networking function with any Officials.
7. Limitation of Liability
7.1 Nothing in these Terms shall limit or exclude Pnyx liability for:
(a) death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;
(b) fraud or fraudulent misrepresentation; or
(c) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
7.2 Delegates are responsible for taking appropriate insurance cover in connection with their attendance at the Event.
7.3 Subject to clause 7.1:
(a) Pnyx shall under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of or damage to property, loss of profit, or any indirect or consequential loss arising under or in connection with the Contract; and
(b) Pnyx total liability to you in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the Fee.
7.4 Except as set out in these Terms, all warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.
7.5 You agree to indemnify Pnyx against any loss or damage it may suffer or incur as a result of you breaching these Terms.
8. Force majeure
8.1 Pnyx shall not be liable to you or any Delegate as a result of any delay or failure to perform its obligations under this Contract as a result of a Force Majeure Event (as defined below).
8.2 A Force Majeure Event means an event beyond the control of Pnyx including but not limited to strikes, lock-outs or other industrial disputes (whether involving the workforce of Pnyx or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, epidemic, pandemic, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or any subcontractors.
9. General
9.1 If a court or any other competent authority finds that any provision (or part of any provision) of this contract is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
9.2 A person who is not a party to the Contract shall not have any rights under or in connection with it.
9.3 The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and you irrevocably submit to the exclusive jurisdiction of the courts of England and Wales. Nothing in this clause shall limit Pnyx's right to take proceedings against you in any other court of competent jurisdiction.
